1. Acceptance of terms

These Terms & Conditions ("Terms") govern your access to and use of the InstaUPI website and services (the "Services"). By creating an account or using the Services, you agree to these Terms on behalf of yourself and the business you represent. If you do not agree, do not use the Services.

2. About the Services

InstaUPI provides tools that help businesses collect UPI payments using QR codes, including dynamic and static QR code generation, API access, and payment status updates through integrations such as webhooks.

3. Eligibility and accounts

• You must be at least 18 years old and legally able to enter into a binding contract.
• You must provide accurate, current and complete information when creating an account, and keep it updated.
• You are responsible for keeping your login credentials and API keys confidential, and for all activity under your account.
• Notify us immediately at support@instaupi.in if you suspect unauthorised access.

4. Your responsibilities

• Use the Services only for lawful business purposes and in line with applicable laws, including payment and consumer protection regulations.
• Ensure the UPI details, bank accounts and business information linked to your account belong to you or are authorised for your use.
• Clearly describe the goods or services you sell, along with your own pricing, delivery, refund and cancellation terms for your customers.
• Handle your customers' complaints, disputes, refunds and chargebacks relating to your goods or services.
• Keep your website, app and integration secure, and verify payment status as recommended in our documentation before fulfilling orders.

5. Prohibited use

You must not use the Services to:

• Sell or promote illegal, restricted or prohibited goods or services.
• Engage in fraud, money laundering, phishing or any deceptive activity.
• Interfere with, disrupt or attempt to gain unauthorised access to the Services or related systems.
• Reverse engineer, copy or resell the Services without our written permission.
• Upload malicious code or content that infringes the rights of others.

We may suspend or terminate accounts that we reasonably believe are involved in prohibited use.

6. Fees and payment

Some Services may be offered for a fee. Applicable charges, billing cycles and plan details will be shown to you before you purchase or confirmed in writing. Fees are exclusive of applicable taxes unless stated otherwise. Refunds of fees paid to InstaUPI are governed by our Refund Policy.

7. API and integration

We may provide API keys, documentation and sample code to help you integrate. Sample code is provided for guidance and must be tested by you before use in production. We may update or change APIs from time to time and will make reasonable efforts to give notice of significant changes.

8. Service availability

We work to keep the Services available and reliable, but we do not guarantee uninterrupted or error-free operation. Services may be affected by maintenance, network issues, or the availability of third-party systems such as UPI apps and banking networks, which are outside our control.

9. Intellectual property

The Services, website, software, logos and content are owned by InstaUPI or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services for your business during your subscription. You retain ownership of the data you provide to us.

10. Privacy

Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms.

11. Disclaimers and limitation of liability

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, InstaUPI is not liable for any indirect, incidental, special or consequential losses, including loss of profits, revenue or data, arising from your use of the Services.

To the extent permitted by law, our total liability for any claim relating to the Services is limited to the fees you paid to InstaUPI in the three months before the event giving rise to the claim.

12. Indemnity

You agree to indemnify and hold InstaUPI harmless from claims, losses and expenses arising from your breach of these Terms, your violation of any law, or disputes between you and your customers.

13. Suspension and termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Services or other users. Sections that by their nature should survive termination will continue to apply.

14. Governing law and disputes

These Terms are governed by the laws of India. Subject to any applicable dispute resolution process, the courts at Rourkela, Odisha shall have exclusive jurisdiction over disputes arising from these Terms.

15. Changes to these Terms

We may update these Terms from time to time. We will update the "Last updated" date and notify account holders of significant changes. Continued use of the Services after changes take effect means you accept the updated Terms.
